1. About the Site

Where liability cannot lawfully be excluded, liability will be limited to the greatest extent allowed by applicable law. Some jurisdictions do not allow certain exclusions, so parts of this section may not apply to you.

13. Indemnification

You agree to defend, indemnify, and hold harmless Off-Grid Dispatch and its owners, affiliates, contributors, service providers, and licensors from claims, losses, liabilities, damages, judgments, costs, and reasonable legal fees arising from your violation of these Terms, misuse of the Site, submissions, infringement of another party’s rights, or projects and activities you undertake.

14. Suspension and Termination

We may restrict, suspend, or terminate access to the Site, without prior notice, if we reasonably believe you violated these Terms, created risk, interfered with Site operation, or engaged in unlawful conduct. Provisions that by their nature should survive termination will survive, including intellectual-property, warranty, liability, indemnity, and governing-law provisions.

15. Governing Law and Exclusive Venue

These Terms and any further rules, policies, or guidelines incorporated by reference shall be governed by and construed in accordance with the laws of the State of Nevada, United States, without giving effect to any principles of conflicts of law.

Any dispute, claim, action, or legal proceeding arising out of or relating to the Site, these Terms, or the relationship between you and Off-Grid Dispatch shall be brought exclusively in a state or federal court of competent jurisdiction located within the State of Nevada. You and Off-Grid Dispatch consent to the exclusive personal jurisdiction and venue of those courts and waive any objection based on inconvenient forum or improper venue.

16. Changes to These Terms

We may update these Terms by posting a revised version and changing the “Last updated” date. Your continued use of the Site after revised Terms become effective constitutes acceptance of those Terms. Review this page periodically.

17. Severability and Entire Agreement

If a provision is found unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain effective. These Terms, together with referenced policies, constitute the entire agreement regarding use of the Site and supersede prior understandings about that use. Our failure to enforce a provision is not a waiver.
